COMMERCIAL LEASE AGREEMENT

This Commercial Lease Agreement (the “Agreement”) is entered into by and between Raleigh Printing Inc., a Delaware corporation with its principal office at 5679 Technology Drive, Suite 508, Raleigh, NC 27649, EIN 27-4246581 (“Tenant”) and Page Printing LLC, a limited liability company with its principal office at 7053 Pine Street, Miami, FL 33104, EIN None (“Landlord”).

1. DEFINITIONS
1.1 “Confidential Information” means all non-public business and technical information.
1.2 “Business Day” means any day other than a Saturday, Sunday or U.S. federal holiday.

2. SCOPE
2.1 Landlord leases to Tenant approximately 3845 square feet of office space on the third floor of the building located at 7053 Pine Street, Miami, FL 33104 (the “Premises”).

3. FEES AND PAYMENT
3.1 Tenant shall pay Landlord $14,870 per year, exclusive of applicable sales tax ($16,189.71 including 8.88% sales tax).
3.2 Invoices are payable within thirty (30) days of the invoice date.
3.3 Within ten (10) days of signing, Tenant shall pay a security deposit of $7,435.
3.4 Any amount not paid when due shall accrue a late charge of 0.05% of the overdue amount per day until paid.

4. TERM AND TERMINATION
4.1 This Agreement shall become effective on the date it is signed by both parties.
4.2 The term of this Agreement ends on December 31, 2027.
4.3 This Agreement may not be terminated before the end of the term except by mutual written agreement.

5. CONFIDENTIALITY
5.1 Each party shall keep the other party's Confidential Information strictly confidential.

6. MISCELLANEOUS
6.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
6.2 This Agreement constitutes the entire agreement between the parties.
